Scope and Applicability

These “Terms and Conditions – IWebGenics Pvt. Ltd” cover digital business services, further detailed below (“Terms and Conditions”), and apply to any purchase, use, or agreement involving our service solutions or applications (collectively referred to as “Digital Business Services”) provided by IWebGenics Pvt. Ltd. These Terms and Conditions override any previously issued terms and conditions. No terms and conditions endorsed on, delivered with, or contained in any of IWebGenics’ Digital Business Services clients’ purchase conditions, order confirmations, or otherwise shall form part of the contract between IWebGenics Pvt. Ltd and the client. By accepting this Agreement, the client (the “Client”) agrees to be bound by the terms of this Agreement.

Service Definition

Our digital business services refer exclusively to non-physical goods and advisory services offered electronically or offered in physical by third parties linked with us.

Who We Are?

We are iWebGenics Pvt. Ltd (“Company”, “we”, “us”, “our”, "iWebGenics”), a company operating from Florida, US, at 1317 Edgewater, Dr#3653 Orlando, Florida, US, and Aurora Waterfront, Salt Lake, Kolkata, India. Intellectual Property

The Client agrees that IWebGenics Pvt. Ltd, as an individual data controller, is permitted to process personal information about the Client and the Service users as part of its records and may process such information as part of IWebGenics’ business to provide the Digital Services per the Agreement. The Client agrees that IWebGenics may disclose such information to third parties working with the organization only if and to the extent that such disclosure is, in IWebGenics Pvt. Ltd’s view, required for the proper conduct of IWebGenics’ business, such as disclosure to a certification body/bodies, or legal authorities, if explicitly demanded by them.

Fees, Charges, and Payment Terms

The Client shall pay IWebGenics the price for the services in the amount and manner specified in the contract agreement with the client or users. IWebGenics shall submit invoices, and the Client shall make payment of each invoice by the due date stated on that invoice. The Client will settle any invoice issued by IWebGenics Pvt. Ltd within the payment terms stated on the invoice. Any disputes or issues requiring legal action shall first be communicated by IWebGenics to the client and vice versa before initiating legal action.

Client Insolvency

If the Client enters into any voluntary arrangement with creditors, becomes subject to any administration order, becomes bankrupt (if an individual or company), goes into liquidation (if a company), or a receiver is appointed for any of the Client’s property or assets, then, without prejudice to any other right or remedy available to IWebGenics Pvt. Ltd, IWebGenics Pvt. Ltd will be entitled to cancel the Agreement or suspend any further performance of the Services under the Agreement without any liability to the Client. If at the time of such cancellation or suspension, the Services have been supplied but not paid for, the price will become immediately due and payable within 15 days, notwithstanding any previous agreement or arrangement to the contrary.

Commencement Date, Term, and Termination

1. Commencement Date and Term: IWebGenics will begin to provide the Services on the date of the Agreement or another agreed date (“Commencement Date”). Each agreement period varies based on the type and scale of service being purchased.

2. Termination: The Client may terminate this Agreement with a formal notification and as per mutual agreements signed.

Intellectual Property Rights

All copyrights, software, patents, trademarks, design rights, and any other intellectual property rights (whether registered or unregistered) used, created, or embodied in or arising out of or in connection with the delivery of the Services shall remain the sole property of IWebGenics Pvt. Ltd. The Client shall not, during or after the delivery and use of the Services, assert ownership of or dispute ownership of such rights and shall assign to IWebGenics any such rights coming into its possession.

All materials and information provided by IWebGenics Pvt. Ltd to the Client in connection with the Digital Services may not be copied, distributed, or made available to any third parties. The Client shall not use such material and information for any reason not connected to the Digital Services provided by IWebGenics Pvt. Ltd to the Client. Any and all materials related to the Digital Services provided to the Client shall be returned to IWebGenics Pvt. Ltd upon termination of this Agreement or upon request by IWebGenics Pvt. Ltd. The Client shall not copy or otherwise reproduce any materials provided by IWebGenics Pvt. Ltd without prior written consent. The Client shall provide all necessary cooperation to IWebGenics Pvt. Ltd and shall timely provide all useful and necessary data and/or other information required for the adequate execution of the Agreement. The Client shall ensure the accuracy of this data and/or other information.

IWebGenics reserves the right, by giving notice to the Client at any time, to increase the price of the Services to reflect any change in specification requested by the Client or any delay caused by any instructions of the Client or failure of the Client to provide IWebGenics Pvt. Ltd with adequate information or instructions.

Price, Service and Maintenance charges

The Price, Service, Maintenance Charges, and all other payments invoiced to the Client under this Agreement are net of tax. The Client shall, in addition, pay IWebGenics Pvt. Ltd the amount of any tax, duty, or assessment, including any applicable taxes, which IWebGenics is obliged to pay and/or collect from the Client in respect of any supply under the Agreement.

Non-Disclosure Clause

The client is bound by the non-disclosure agreement and would not in one way or other disclose

– The price at which we are providing the services

– The customization we are offering at that price

– Any company discounts, coupons, rebates or referrals being availed

– Any other information communicated to the client electronically or physically during the service period

– Any visible advantage the client is availing by use of our services which are not provided by other companies in the market

Disclaimer

To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to our website and the use of this website. Nothing in this disclaimer will:
